This Non-Disclosure framework applies when ELITE ENTERTAINMENT & EVENTS PTY LTD and a client, artist or tender panel exchange confidential information about events, talent fees, security plans, production plots or government tender responses.
Includes non-public business plans, pricing models, multi-enquiry package designs, client guest lists, artist riders, security risk assessments, stage plots, and personal information.
Excludes information that is public (other than by breach), independently developed, or required to be disclosed by law.
Recipients must use confidential information only for evaluating or delivering the engagement; limit access to personnel with a need to know; and apply reasonable security.
On request, return or destroy confidential materials subject to legal retention duties.
Obligations continue for 3 years from disclosure, or longer for trade secrets and personal information as required by privacy law.
Breach may cause irreparable harm; injunctive relief may be sought in addition to damages.
